Welcome to HelperCard. These Terms of Service ("Terms") govern your access to and use of the HelperCard mobile application, website, and related services (collectively, the "Service"). By accessing or using HelperCard, you agree to be bound by these Terms.

IMPORTANT: Please read these Terms carefully before using HelperCard. By creating an account or using our Service, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By accessing or using HelperCard, you affirm that:

You are at least 13 years of age (or the age of digital consent in your jurisdiction)
You have the legal capacity to enter into a binding agreement
You agree to comply with all applicable laws and regulations
You have read and agree to our Privacy Policy
You consent to the collection and use of your data as described in our Privacy Policy, including for research purposes

If you are using HelperCard on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

HelperCard provides a digital wallet service that allows you to:

Store and organize digital images of physical cards (credit cards, insurance cards, membership cards, etc.)
Capture card images using your device camera or upload from your photo library
Utilize Optical Character Recognition (OCR) to extract text and information from cards
Add compatible cards to Apple Wallet
Access your digital card collection across devices
Manage card information and metadata

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

3. Account Registration and Security

3.1 Account Creation

You must create an account to use HelperCard
You must provide accurate, current, and complete information during registration
You must authenticate via Google OAuth using a valid Google account
You are responsible for maintaining the confidentiality of your account credentials

3.2 Account Security

You are solely responsible for all activities that occur under your account
You must immediately notify us of any unauthorized access or security breach
We are not liable for any loss or damage arising from your failure to protect your account
You must not share your account with others or allow others to access your account

3.3 Account Termination

You may delete your account at any time through the app settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. User Content and Data

4.1 Your Content

You retain ownership of the card images, photos, and information you upload to HelperCard ("Your Content"). By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to:

Store, process, and display Your Content to provide the Service
Use Your Content for OCR processing and information extraction
Generate Apple Wallet passes from Your Content
Use Your Content for research, machine learning, algorithm improvement, and service development
Create anonymized and aggregated data from Your Content for analysis and research

4.2 Research and Data Use

            Important Consent: By using HelperCard, you explicitly consent and agree that:
            Your card images, OCR data, and usage information may be used for research purposes
Your data may be used to train and improve machine learning models and algorithms
Anonymized and aggregated data may be used for academic research, publications, and product development
Your data helps improve OCR accuracy, card recognition, and overall service quality
We may retain anonymized research data indefinitely, even after account deletion

        

4.3 Prohibited Content

You agree not to upload or store content that:

Violates any law, regulation, or third-party rights
Contains malware, viruses, or malicious code
Is fraudulent, deceptive, or misleading
Infringes on intellectual property rights
Contains images of cards that do not belong to you
Is obscene, defamatory, or harassing
Violates the privacy rights of others

4.4 Content Removal

We reserve the right to remove any content that violates these Terms or is otherwise objectionable, without prior notice.

5. Acceptable Use

You agree to use HelperCard only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Service for any illegal or unauthorized purpose
Violate any applicable local, state, national, or international law
Impersonate any person or entity or misrepresent your affiliation
Interfere with or disrupt the Service or servers/networks connected to the Service
Attempt to gain unauthorized access to any portion of the Service
Use any automated means (bots, scrapers, etc.) to access the Service
Reverse engineer, decompile, or disassemble any aspect of the Service
Upload cards or information that belongs to other individuals without permission
Use the Service to commit fraud or identity theft
Transmit spam, chain letters, or unsolicited communications
Bypass any measures designed to prevent or restrict access to the Service

5.2 Compliance with Card Issuer Terms

When storing images of cards, you are responsible for complying with the terms and conditions of the card issuers. Some card issuers may prohibit digital storage or reproduction of card images.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All rights, title, and interest in and to the Service, including all software, technology, trademarks, logos, and content (excluding Your Content) are owned by HelperCard or our licensors. You may not copy, modify, distribute, sell, or lease any part of our Service.

6.2 Trademarks

HelperCard, our logo, and any other product or service names or slogans are trademarks of HelperCard and may not be used without express written permission.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without compensation or attribution.

7. Third-Party Services

7.1 Google OAuth

HelperCard uses Google OAuth for authentication. Your use of Google services is subject to Google's Terms of Service and Privacy Policy. We are not responsible for Google's practices or policies.

7.2 Apple Wallet

Apple Wallet integration is subject to Apple's terms and conditions. We are not responsible for issues with Apple Wallet functionality or availability.

7.3 Third-Party Links

The Service may contain links to third-party websites or services. We do not endorse or assume responsibility for any third-party content, and your use of third-party services is at your own risk.

8. Disclaimers and Limitations of Liability

8.1 Service "AS IS"

DISCLAIMER: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties regarding the accuracy, reliability, or availability of the Service
Warranties that the Service will be uninterrupted, secure, or error-free
Warranties regarding OCR accuracy or card data extraction quality

8.2 No Guarantee of Accuracy

We do not guarantee the accuracy or completeness of OCR results or card information extraction. You are responsible for verifying all card information for accuracy.

8.3 Data Loss

While we implement security measures and backups, we are not responsible for any loss or corruption of Your Content or data. You should maintain your own backups of important information.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
OUR TOTAL LIABILITY SHALL NOT EXCEED $100 USD OR THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS, WHICHEVER IS GREATER
THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

8.5 No Liability for Misuse

We are not liable for any damages resulting from:

Your misuse of the Service or violation of these Terms
Unauthorized access to your account by third parties
Reliance on OCR data or extracted card information
Actions taken by card issuers or financial institutions
Loss or theft of devices containing your card information

9. Indemnification

You agree to indemnify, defend, and hold harmless HelperCard and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the Service
Your violation of these Terms or any applicable laws
Your violation of any third-party rights, including intellectual property or privacy rights
Your Content or any information you submit through the Service
Your negligence or willful misconduct

10. Privacy and Data Protection

Your use of HelperCard is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to:

The collection, use, and processing of your personal information as described in the Privacy Policy
The use of your data for research, machine learning, and service improvement
The storage and processing of your data in accordance with our security practices
The retention of anonymized research data after account deletion

11. Fees and Payment

HelperCard is currently provided free of charge. We reserve the right to introduce paid features, subscriptions, or premium services in the future. If we do:

We will provide advance notice of any fees
You will have the opportunity to accept or decline paid features
Free tier functionality may be limited compared to paid tiers
All fees are non-refundable unless otherwise stated

12. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes:

We will update the "Last Updated" date at the top of this page
We will provide notice through the app or via email for material changes
Your continued use of the Service after changes are posted constitutes acceptance
If you do not agree to the modified Terms, you must stop using the Service and delete your account

13. Termination

13.1 Termination by You

You may terminate your account at any time by deleting it through the app settings. Upon termination:

Your access to the Service will cease immediately
Your personal information and card images will be deleted within 30 days
Anonymized research data may be retained as described in our Privacy Policy
These Terms will continue to apply to any past use of the Service

13.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

You violate these Terms or our Privacy Policy
You engage in fraudulent, abusive, or illegal activity
We are required to do so by law
Your account has been inactive for an extended period
We discontinue the Service entirely

13.3 Effect of Termination

Upon termination by either party:

Your license to use the Service terminates immediately
Sections regarding intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution survive termination

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

14.2 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California, and judgment on the award may be entered in any court having jurisdiction.

14.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and HelperCard individually. To the full extent permitted by law:

No arbitration or proceeding shall be joined with any other
No dispute shall be arbitrated on a class-action basis
You waive your right to participate in a class action lawsuit or class-wide arbitration

14.4 Exceptions

Notwithstanding the arbitration agreement, either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent irreparable harm.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HelperCard regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign or transfer these Terms at any time without restriction.

15.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet failures.

15.6 No Agency

No agency, partnership, joint venture, or employment relationship is created between you and HelperCard as a result of these Terms or your use of the Service.

15.7 Export Compliance

You agree to comply with all applicable export and import laws and regulations in your use of the Service.

17. Acknowledgment

BY USING HELPERCARD, YOU ACKNOWLEDGE THAT:

You have read, understood, and agree to be bound by these Terms of Service
You have read and agree to our Privacy Policy
You consent to the use of your data for research and machine learning purposes
You understand the risks and limitations of the Service
You accept our disclaimers and limitations of liability
You agree to the arbitration and class action waiver provisions
